Yes, Of course you are allowed to resell the game, although I can
vaguely recall that the Steam agreement does not permit transferral of
ownership of Steam accounts. This used to be the case prior to the
release of HL2, but since this conflicts with the ability to resell the
game, it may have changed.

There is a procedure for "resetting" the account

Presumably you would have the buyer perform this procedure after the
transaction, after which he could register the retail cd as his own. The
goal of course is to make it inconvenient, thus discouraging such
transferals. The simple solution is to give the buyer your account and let
him change the password and contact info. You still have to transfer the
physical materials for it to be legal.
